If Advertiser purchases (i) print advertisements (“Print Ads”) for display in Publisher`s proprietary newspaper(s) (each, a “Newspaper”) or (ii) online display advertising (“Digital Ads” and, together with print ads, “Ads”) for distribution on Publisher`s digital media (e.g., Publisher`s website(s), tablet or Publisher`s mobile applications, digital display advertisements associated with the electronic newspaper of the Publisher`s newspaper, etc.) specified in the applicable Order (each, a “Digital Property”), the additional terms and conditions set forth in this Exhibit A and Addendum A-2 will apply to any order submitted for such advertising services. Labeling: The media company`s proprietary label for custom content work is “Story From,” which is included in article listings, videos, infographics, ad units, and social media. If Advertiser purchases Digital Marketing Services under this Agreement (“Marketing Services”), the additional terms and conditions of this Addendum B will apply to any order placed by Advertiser for such Marketing Services. ReachLocal, a subsidiary of the publisher, provides a pay-per-click service, SEO service, list management service, social media service, web design/development/hosting service, and/or other marketing services, including targeted emails. The applicable terms and conditions of ReachLocal www.reachlocal.com/us/en/legal/terms-and-conditions/media-product-terms apply to the services offered by ReachLocal. Publisher reserves the right to engage other affiliates to provide marketing services. For the avoidance of doubt, if the advertiser has not purchased a particular service described below, the terms below for that service do not apply to the advertiser. The publisher is not responsible for any interruptions, errors or omissions related to advertising (print, online or otherwise). The Publisher is not responsible for the cancellation or postponement of an event, due to the unavailability of the place where the event takes place, or due to circumstances beyond its control. 8.3. Deletion or modification of content. Publisher may, in its sole discretion, delete or revise its journal(s) and/or digital property(ies), including the content, nature, design and/or organization of newspapers and/or digital property, during the term of this Agreement. If such revision materially changes the value of the ad(s) to be served by the advertiser, the publisher will notify the advertiser. If, as a result of such revision, the parties are unable to agree on a satisfactory replacement of the affected Listings, the Advertiser may terminate this Agreement with respect to the affected Listings and will not be required to pay for (or refund) any Listings that are not displayed due to such cancellation.
Such cancellation is the sole and exclusive remedy of the Advertiser and the Publisher assumes no other responsibility. 6. Insurance. If sponsorship involves the advertiser attending the event (as an exhibitor or seller) to market its products and services, the advertiser will maintain insurance issued by a company reasonably acceptable to the publisher for the following insurance: (i) commercial general liability insurance, including coverage for property damage, bodily injury or death of at least one million dollars ($1,000,000) per event; (ii) motor vehicle liability insurance of at least one million dollars ($1,000,000) per occurrence; (iii) workers` compensation insurance at the level prescribed by law; (iv) product liability insurance of at least $1,000,000 per occurrence for bodily injury, illness and property damage combined; and (v) professional indemnity insurance of at least one million dollars ($1,000,000) per occurrence. A copy of the certificate(s) of insurance identifying the issuer, Gannett Co., Inc. and its subsidiaries and affiliates as additional insurers will be provided to the publisher prior to the event. Social: In recognition of the importance of social media in the branded content campaign, the media company has a dedicated social media expert in-house who manages all of the advertiser`s social activities. Media Company will provide social extensions for the advertiser`s branded content through the relevant social channels. Media companies can look at advertiser-specific social key performance indicators (KPIs). 2.
Content and creativity. The publisher is solely responsible for the creation of all promotional materials (print and digital), signage or program of the event or program. The advertiser will be identified as the promotional sponsor of the event or program in the promotional materials, signage and program book (if applicable).
